These Terms and Conditions govern purchases made through store.malmbergcapital.com (the “Store”).
The Store is operated by Malmberg Capital (UK) Management Ltd, company number 10787029, registered in England and Wales (“Malmberg Capital”, “we”, “us” or “our”).
By placing an order through the Store, you agree to these Terms.
1. Our Products
The Store primarily sells digital products, including business resources, templates, presentations, research materials, data files, documents, spreadsheets and other downloadable content.
The specific contents of each product are described on the relevant product page.
Unless expressly stated otherwise, products sold through the Store are digital products and no physical item will be shipped.
2. Orders
An order constitutes an offer by you to purchase the selected product.
A contract between you and us is formed when we accept your order and provide an order confirmation or make the digital product available to you.
We reserve the right to refuse or cancel an order where reasonably necessary, including where:
- payment has not been authorised;
- pricing or product information contains an obvious error;
- we reasonably suspect fraud or unauthorised payment activity;
- fulfilling the transaction would violate applicable law or a payment provider’s requirements; or
- the product is no longer available.
If we cancel an order after receiving payment, we will refund the amount paid unless applicable law permits otherwise.
3. Prices and Payment
Prices displayed through the Store are shown in the currency stated on the relevant page.
Applicable taxes, where required, will be displayed or calculated as part of the purchasing process.
Payment must be made using one of the payment methods available at checkout.
Payments may be processed by third-party payment service providers. We do not generally receive or store your complete card details.
4. Digital Delivery
Unless otherwise stated on the product page, digital products are made available electronically after successful payment.
Delivery may take place by:
- immediate download;
- a download link sent by email;
- access through your customer account; or
- another electronic method identified on the product page.
Please ensure that the email address provided during checkout is correct.

5. Immediate Supply and Cancellation Rights
Where you are purchasing digital content as a consumer and request that the digital content be supplied immediately, before the end of any applicable statutory cancellation period, we will ask you to provide any consent and acknowledgement required by applicable consumer law.
Where legally permitted, your right to cancel because you have simply changed your mind may end once supply of the digital content begins following your express consent and acknowledgement.
This does not affect your rights where digital content is faulty, materially different from its description or otherwise fails to comply with applicable consumer law.
6. Licence
Unless the applicable product page states otherwise, purchasing a digital product grants you a limited, non-exclusive, non-transferable licence to use the product for your own personal or internal business purposes.
You may not:
- resell the product;
- redistribute it as a standalone product;
- publish the complete product publicly;
- make it available through a shared download repository;
- sublicense it;
- remove copyright or proprietary notices; or
- represent the product as having been created by you.
You may use editable templates to create your own internal or external business materials, subject to any additional licence terms shown on the product page.
7. Intellectual Property
All intellectual property rights in products sold through the Store remain with Malmberg Capital or the relevant licensors unless expressly transferred in writing.
Purchase of a product does not transfer ownership of the underlying intellectual property.
8. Product Information
We make reasonable efforts to ensure that product descriptions, images, pricing and other information are accurate.
Minor visual differences may occur depending on software, operating system, fonts, display settings or other technical factors.
Where software compatibility is relevant, customers are responsible for checking the compatibility information provided on the product page before purchasing.
9. Informational Products
Some products contain business, market or financial information.
Unless expressly agreed separately in writing, products sold through the Store are provided as general informational, research, educational or business resources.
Purchase of a Store product does not constitute:
- investment advice;
- financial advice;
- legal advice;
- tax advice;
- investment management;
- brokerage;
- securities placement services; or
- an offer or solicitation to buy or sell any investment or security.
You remain responsible for your own business, investment and professional decisions and should obtain appropriate professional advice where required.
10. Refunds
Refunds and remedies are governed by our Refund Policy and applicable law.
Nothing in these Terms excludes or limits statutory rights that cannot legally be excluded.
11. Account Security
If you create an account, you are responsible for keeping your login details secure and for activity carried out through your account.
Please notify us promptly if you believe your account has been accessed without authorisation.
12. Availability
We aim to keep the Store and digital delivery systems available, but uninterrupted availability cannot be guaranteed.
Where a technical problem prevents access to a purchased product, contact us and we will make reasonable efforts to restore access or provide another means of delivery.
13. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or statutory consumer rights that cannot legally be excluded.
Subject to applicable law, we will not be responsible for indirect or consequential business losses arising from use of a product where those losses were not reasonably foreseeable when the contract was made.
For business customers, to the fullest extent permitted by law, our aggregate liability arising from a particular purchase will not exceed the amount paid for that purchase, except where such limitation would be unlawful.
14. Privacy
Personal information is processed in accordance with our Privacy Policy.
15. Changes to These Terms
We may update these Terms from time to time.
The Terms applicable to a particular purchase will generally be those published when the order was placed.
16. Governing Law
These Terms are governed by the laws of England and Wales.
If you are a consumer, you may also benefit from mandatory protections available under the laws applicable where you live.
Nothing in this clause deprives a consumer of protections that cannot lawfully be excluded.
